Terms of Use

1) Who we are
These Terms of Use (“Terms”) govern your access to and use of the website located at
momentum-group.ca and any related pages or forms (the “Site”), which are operated by
Momentum (collectively, “Momentum,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to be legally bound by these Terms. If you do not agree, do not
use the Site.
2) Eligibility & geographic scope
The Site is intended for users who are at least 18 years old. The Site is controlled from Alberta, Canada
and may be accessed from other jurisdictions, but you do so at your own initiative and are responsible
for compliance with local laws where they apply.
3) Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Effective date” above.
Continued use of the Site after changes become effective constitutes acceptance of the updated Terms.
4) Privacy
Your personal information will be managed in accordance with our published Privacy Policy. We adhere to
the Personal Information Protection Act (PIPA) of Alberta, which sets standards for the collection, use,
and disclosure of personal information by private-sector organizations. In circumstances where personal
information is collected, used, or disclosed across provincial, territorial, or international borders,
the federal Personal Information Protection and Electronic Documents Act (PIPEDA) may also apply.
5) Electronic agreement & communications
You agree that clicking buttons (e.g., “Submit,” “Apply,” “I agree”) or using the Site constitutes your
electronic signature and acceptance of these Terms, consistent with Alberta’s Electronic Transactions
Act. We may send you service, administrative, and marketing communications by email in accordance with
applicable law and our Privacy Policy.
6) Informational nature; no professional advice
Content on the Site (including any articles, resources, or peer-group descriptions) is provided for
general information only. It does not constitute legal, financial, HR, or other professional
advice. You
should obtain advice from a qualified professional before acting on information found on the Site.
7) Programs, applications & separate agreements
Applying to join a peer group or other Momentum program does not guarantee acceptance. If you are
admitted, your participation may be governed by a separate membership or program agreement (and code of
conduct). In the event of a conflict, the separate signed agreement will prevail over these Terms with
respect to the program.
8) Your responsibilities
You agree that you will not, and will not permit others to:
- a) use the Site for any unlawful purpose or in violation of these Terms;
- b) submit false, misleading, or confidential information through forms;
- c) copy, scrape, harvest, or index the Site or its contents by automated means (except for
standard
search-engine indexing);
- d) attempt to circumvent security or access non-public areas;
- e) infringe intellectual-property or privacy rights of Momentum or others;
- f) upload or transmit malware or interfere with the Site’s operation.
We may suspend or terminate access to the Site for any violation of these Terms, without notice.
9) User submissions
If you submit content or information through forms on the Site (“Submissions”), you represent and warrant
that you have all rights to do so and that the Submissions are accurate and lawful. You grant Momentum a
non-exclusive, worldwide, royalty-free license to use, reproduce, store, and disclose your Submissions
as reasonably necessary to operate the Site, assess applications, communicate with you, and comply with
law.
Do not submit confidential or proprietary information you expect us to hold to a higher standard
of secrecy unless we expressly agree in writing.
10) Intellectual property
The Site and all content on it, including text, graphics, logos, icons, images, and layout (the
“Content”), are owned by Momentum or our licensors and are protected by Canadian and
international
intellectual-property laws. Subject to these Terms, you may view the Site for your personal,
non-commercial use. Any other use (including reproduction, modification, distribution, or republication)
requires our prior written consent. “Momentum” and associated logos are trademarks or trade names of
Momentum. All other names and marks are the property of their respective owners.
11) Third-party sites & tools
The Site may link to third-party websites or tools. Those are provided as a convenience only. We do not
control and are not responsible for third-party content, products, or practices. Use them at your own
risk and review their terms and privacy policies.
12) Availability & changes to the Site
We may modify, suspend, or discontinue any part of the Site at any time without notice. We do not
guarantee that the Site will be available, secure, or free from errors or harmful components.
13) Disclaimer of warranties
To the fullest extent permitted by law, the Site and Content are provided “as is” and “as available,”
without any warranties or conditions of any kind, whether express, implied, statutory, or otherwise,
including implied warranties/conditions of merchantability, fitness for a particular purpose, title, and
non-infringement.
14) Limitation of liability
To the fullest extent permitted by law, Momentum and its directors, officers, employees, and agents will
not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or
any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your
use of (or inability to use) the Site, even if advised of the possibility of such damages.
To the extent any liability cannot be excluded, our total aggregate liability for all claims related to
the Site will not exceed CAD $100.
15) Indemnity
You will indemnify and hold harmless Momentum and its directors, officers, employees, and agents from and
against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising
out of or in any way connected with your Submissions, your use of the Site, or your breach of these
Terms.
16) Governing law & forum
These Terms and any dispute or claim arising out of or relating to them or the Site are governed by the
laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard
to
conflict-of-laws rules. You and Momentum irrevocably submit to the exclusive jurisdiction of the courts
of Alberta.
17) Compliance with consumer protection laws
If you use the Site as a consumer, mandatory rights and remedies under Alberta’s Consumer Protection
Act
(and applicable regulations) may apply and cannot be excluded. Nothing in these Terms is intended to
limit your non-waivable rights under applicable law.
18) Term & termination
These Terms remain in effect while you use the Site. We may terminate or suspend access, with or without
notice, for any reason. Upon termination, Sections 9–18 survive.
19) Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms
in connection with a merger, acquisition, corporate reorganization, or sale of assets.
20) Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and
effect. Our failure to enforce a right or provision is not a waiver of that right or provision.
21) Entire agreement; interpretation
These Terms constitute the entire agreement between you and Momentum regarding the Site and supersede any
prior or contemporaneous understandings about the Site. Headings are for convenience only.
